Terms of Service

1. Acceptance of Terms
By accessing or using Andon Tool ("the Service," "the Platform," "we," "us," or "our"), you ("Customer," "Company Admin," or "you") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.
These Terms apply to all users of the platform, including Company Admins, Plant Managers, Supervisors, Leads, Responders, and Floor Employees.
2. Description of Service
Andon Tool is a browser-based production request and communication system designed for manufacturing operations. It enables floor employees to submit requests, allows responders to claim and complete those requests, and provides supervisors and managers with visibility into request activity.
The platform also includes the following modules:
- Production Scheduling: a production queue, schedule boards, job templates, and automated employee rotations.
- KPI Boards and TV Dashboards: daily metric tracking, wall calendars, uploaded board images, and slideshow or split-screen displays.
- Downtime Tracking: logging of production stoppages with reasons, work centers, and minutes lost.
- Skill Matrix (optional add-on): records of employees, the skills defined for each department, each employee's certification status, and an audit trail of changes to those records. It also holds records about named individuals that are not certification data: written conversation records with an edit trail, written performance reviews with per-section ratings, development plans, and training completions. Conversation records cannot be edited after 24 hours and cannot be deleted; finalized performance reviews are permanently locked. See the Privacy Policy for what each record holds.
- C.I.B. (Continuous Improvement Bot) (optional add-on): an AI assistant for continuous-improvement coaching. Your messages, your recent conversation history, operational data from the departments you can see, and any image you attach are sent to a third-party AI provider to generate its replies. Where your company also has the Skill Matrix, conversation records, performance review text, development plans, and training status about named individuals in those departments are sent as well, on every message. See the Privacy Policy for what is transmitted.
Important: Andon Tool does not replace customer safety procedures, quality systems, emergency systems, ERP systems, legal compliance obligations, or internal management responsibilities. The platform is a communication and workflow tool only.
3. Account Registration
To use the Service, a Company Admin must register on behalf of their organization. By registering, the Company Admin represents and warrants that they have the authority to bind the organization to these Terms.
You agree to provide accurate, current, and complete information during registration and to keep this information up to date.
4. Company Admin Responsibilities
The Company Admin is responsible for:
- Managing user invitations and access within their company account.
- Assigning appropriate roles to users.
- Ensuring users comply with these Terms and acceptable use policies.
- Managing their subscription plan, billing information, and timely payments.
- Notifying Andon Tool of any unauthorized access or security concerns.
5. User Roles and Access
Andon Tool uses a role-based access system. Roles include Company Admin, Plant Manager, Supervisor, Lead, Responder roles (Forklift, QA, Engineering, Maintenance), and Floor Kiosk accounts. Each role has defined access levels within the platform.
The Company Admin controls who has access and at what role level within their organization.
6. Customer Responsibilities
Customers are responsible for:
- Providing their own devices and internet access for all users.
- Internal setup, configuration, and user training.
- Operational decisions made using or based on the platform.
- Compliance with all applicable laws, regulations, and industry standards.
- Maintaining their own safety, quality, and production management systems independently of this platform.
Andon Tool does not provide hardware, devices, network infrastructure, or on-site support.
7. No Special Hardware Provided
Andon Tool is a software-only service. No physical devices, hardware, andon lights, sensors, or network equipment are provided, installed, or supported by Andon Tool. Customers must supply all devices and network infrastructure required to run the platform.
8. Browser-Based Software
The platform operates entirely in a web browser. No software installation is required for standard use. Customers are responsible for maintaining compatible browsers and devices for all users.
9. Subscription Plans and Billing
After account creation, customers receive a 30-day access period before the first subscription charge applies. Subscription billing begins automatically on day 31. If a customer cancels before day 31, no subscription charge is applied. The Implementation & Launch Fee is not refunded in this case.
Andon Tool offers subscription plans (Regular and Enterprise) on monthly or annual billing cycles. Current pricing is displayed on the Pricing page and during checkout.
By subscribing, you authorize Andon Tool (or its payment processor) to charge your selected payment method for the applicable subscription fees on a recurring basis.
Andon Tool reserves the right to change subscription pricing with reasonable advance notice. Current pricing is always available at andontool.com/pricing. Continued use of the service after a pricing change takes effect constitutes acceptance of the new price.
10. Recurring Charges
Subscriptions renew automatically at the end of each billing period (monthly or annually) at the then-current subscription rate until cancelled. You will be charged on each renewal date unless you cancel before the renewal date.
- Regular Monthly: $300/month, recurring monthly until cancelled.
- Enterprise Monthly: $600/month, recurring monthly until cancelled.
- Regular Annual: $3,000/year, recurring yearly until cancelled.
- Enterprise Annual: $6,000/year, recurring yearly until cancelled.
11. Implementation & Launch Fee
A one-time Implementation & Launch Fee may apply when a new company account is created. This fee is separate from the recurring subscription fee and is non-refundable unless otherwise stated in writing. The Implementation & Launch Fee is non-refundable because the guided setup and configuration work it covers begins immediately upon account creation.
12. Plan Limits
Each subscription plan includes limits on the number of plant locations, named users, floor kiosk accounts, active requests, departments, work areas, and requests per month. These limits are defined per plan and may change with plan upgrades or add-ons.
Exceeding plan limits may result in access restrictions or requirements to upgrade the subscription plan.
File storage consumption and the length of retained request history are not currently measured or enforced as plan limits.
13. Add-Ons
Two optional add-on modules are available on any plan and are not included in the Regular or Enterprise plans: the Skill Matrix and C.I.B. (Continuous Improvement Bot). They are priced separately from the subscription. Current add-on pricing is shown on the Pricing page and is subject to change.
There is no self-serve checkout for add-ons. They are activated manually after contacting support@andontool.com.
New accounts are currently created with both add-on modules switched on for the initial 30-day access period. Unless an add-on has been added to the account, it is switched off automatically at the end of that period. C.I.B. message volume is subject to per-user daily and per-company monthly caps, which are lower during the initial 30-day period.
14. Cancellation
You may cancel your subscription at any time by contacting Andon Tool support or through account settings if available. Cancellation takes effect at the end of the current billing period unless otherwise specified. After cancellation, access to the platform may be restricted or terminated.

16. Acceptable Use
You agree not to use the platform for any unlawful purpose, to harm other users, to transmit malicious content, to attempt to gain unauthorized access to the system, or to use the platform in any way that violates these Terms.
17. Data and Content Ownership
You retain ownership of all data your organization submits to the platform ("Customer Data"). By using the Service, you grant Andon Tool a limited license to store, process, and display your Customer Data solely for the purpose of providing the Service to you.
Andon Tool does not sell your Customer Data to third parties.
18. Customer Data Responsibilities
Customers are responsible for the accuracy, legality, and appropriateness of all data submitted to the platform. Customer data is separated by Company ID within the platform to prevent cross-company data exposure.
19. Service Availability
We will make reasonable efforts to maintain platform availability. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, updates, or unforeseen outages may affect availability. Andon Tool is not responsible for any losses resulting from service interruptions.
20. Support
Andon Tool aims to respond to support requests within 1 to 2 business days. Response times are not guaranteed and may vary based on request volume and complexity.

21. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. ANDON TOOL DOES NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
ANDON TOOL DOES NOT REPLACE SAFETY SYSTEMS, EMERGENCY SYSTEMS, QUALITY MANAGEMENT SYSTEMS, OR ANY LEGAL COMPLIANCE OBLIGATIONS.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ANDON TOOL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL ANDON TOOL'S TOTAL LIABILITY EXCEED THE AMOUNT PAID BY YOU FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
23. Indemnification
You agree to indemnify, defend, and hold harmless Andon Tool and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, or expenses (including reasonable attorneys' fees) arising out of your use of the Service, violation of these Terms, or violation of any applicable law.
24. Suspension or Termination
Andon Tool reserves the right to suspend or terminate your account if you violate these Terms, fail to pay subscription fees, or engage in conduct that harms other users or the platform. We will provide notice where reasonably possible.
25. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
26. Governing Law
These Terms are governed by and construed in accordance with applicable law. Any dispute arising out of or relating to these Terms or your use of the Service that cannot be resolved informally shall be subject to binding arbitration or the exclusive jurisdiction of a court of competent jurisdiction, as determined by Andon Tool in its reasonable discretion.
You waive any objection to such jurisdiction or venue. Nothing in this section prevents Andon Tool from seeking injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.
